Terms & Conditions

1. The company Transfood works exclusively on the basis of the following business and delivery conditions.

The application of different terms and conditions is excluded.

2. The goods remain the property of Transfood until they have been paid for in full.

As long as ownership has not yet passed, the customer must immediately notify Transfood in writing if the goods delivered are seized or exposed to other interventions by third parties.

The buyer is entitled to resell the reserved goods in the normal course of business.

The customer hereby assigns the claims of the customer’s purchaser from the resale of the reserved goods to the Transfood company in the amount of the agreed amount including VAT.

The customer remains entitled to collect the claim even after the assignment.

The authority of Transfood to collect the claim itself remains unaffected.

However, the company Transfood will not collect the claim as long as the customer meets his payment obligations from the proceeds received, is not in default of payment and no application for the opening of insolvency proceedings has been made or payments have been suspended.

3. The delivery of the goods takes place exclusively up to the curb.

The customer is solely responsible for bringing the goods to the warehouse or shop.

4. The buyer must inspect the goods immediately after delivery and notify Transfood in writing of any defects or shortages.

If the customer fails to notify us in a timely manner, the goods are deemed approved, unless the defect is that could not be identified during inspection.

If the economic control service takes samples, a sealed counter-sample must be insisted on. The counter sample must be sent to Transfood wholesale immediately.

Section 377 of the German Commercial Code applies accordingly.

5. In principle, the statutory warranty periods apply.

Liability for consequential damage is fundamentally excluded, unless Transfood can be proven to have acted with intent or gross negligence.

6. Payments are payable immediately after receipt of the goods and invoice without deduction. If a check goes to protest, the exhibitor assumes the entire costs that arise as a result.

The customer is obliged to pay EUR 5.00 for the first reminder and EUR 8.00 for the second reminder.

Credits from credits expire in 2 years, otherwise the statutory limitation periods apply.

7. German law applies exclusively to the contractual relationship, excluding the UN sales law.

The exclusive place of jurisdiction for all mutual claims is the headquarters of the company Transfood, thus Düsseldorf.
